1. Offer. Eligible persons during the Offer Period can take advantage of the following offer: To receive one (1) free subscription for Semrush Services available at www.semrush.com at Pro or Guru plan with Semrush .Trends included for a period of 1-12 months (“Semrush Subscription”). The plan of subscription, its duration and amount of users will be determined by Semrush at its sole discretion based on the answers in the Questionnaire.

2. Offer Period. The Offer runs from 12pm Central US time on 18th of December, 2021 until 12pm Central US time on 30th of April, 2022. Semrush reserves the right to extend or reduce the Offer period at its sole discretion. The Offer will only be valid during this time and available to all Eligible persons as specified below.

3. Eligibility. The Offer is available for those www.alexa.com (“Alexa”) users who have a paid Alexa account and have no subscription for Semrush Paid Services during the Offer Period (“Eligible persons”). Semrush users may not cancel Semrush Paid Services in order to be eligible to take advantage of the Offer.

4.How To Enter. 4.1. To be an Eligible person you shall complete and submit the questionnaire available at: Questionnaire (“Questionnaire”), where you shall specify user experience as a user of Alexa, specify the services and instruments which were used by you being a user of Alexa, provide Semrush with a copy of a paid by you or your place of work invoice for Alexa services (the invoice must contain the dates of subscription, date of payment, amount of payment, list of paid services), enter email address. Questionnaires submitted by you without clear specifications of user experience (e.g. empty fields, irrelevant answers or usage of `I do not remember` checkbox) may not be accepted by Semrush. 4.2. If the submitted Questionnaire is acceptable, you become an Eligible person. Semrush will contact you within 48 hours to discuss conditions of the Offer in accordance with the Clause 1 of these Terms and Conditions. 4.3. Semrush Subscription will be activated for use as soon as technically possible. If the Eligible person has no Semrush account, he/she shall proceed with a registration autonomously.

5. Additional Terms. 5.1.Semrush reserves the right at its sole discretion to disqualify the entry of any individual found to be violating these Terms and Conditions. 5.2. By entering, you waive all rights to bring (and covenants not to bring) any claim against Semrush, its affiliates or any others associated with this Offer. You further agree to release and hold harmless Semrush, its affiliates, or any others associated with this Offer from any and all liability arising from their participation in the Offer, or Semrush`s and its affiliates`s use of any entry information as described herein, including but not limited to, waiving all rights to any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Offer or delivery, misdelivery, acceptance, possession, use of or inability to participate in the Offer (including claims, costs, injuries, losses, or damages related to the rights of publicity or privacy, defamation or portrayal in s false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. 5.3. With the exception of any indemnification obligations stated in the Semrush Terms of Service, in no event will either party and its respective affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages or loss of profits, revenue, data or business opportunities arising out of or related to this Offer, whether an action is in contract or tort and regardless of the theory of liability whatsoever arising from or related to either this Offer or use of the Services or the Website. Our maximum aggregate liability to you for any damages arising from or related to this Offer is limited to fifty dollars (US $50). You understand and agree that if you do not agree to this limitation of liability, we would not provide the Offer to you.
